Terms of Service & Privacy Policy

Terms of Service

This English translation is provided for convenience only. In the event of any inconsistency between the Japanese original and this translation, the Japanese version shall prevail.

These Terms of Service (the "Terms") set forth the conditions for using the service (the "Service") provided on this website by TIELEC Inc. (the "Company"), which operates Reflection Cloud (reflectioncloud.achireth.onl). All registered users (the "Users") shall use the Service in accordance with these Terms.

Article 1 (Application)

  1. These Terms shall apply to all relationships between Users and the Company concerning the use of the Service.
  2. The Company may establish various rules and provisions for using the Service in addition to these Terms (the "Individual Provisions"). Regardless of their name, these Individual Provisions shall constitute a part of these Terms.
  3. If any provision of these Terms conflicts with the Individual Provisions, the Individual Provisions shall prevail unless otherwise specified therein.

Article 2 (Registration)

  1. Registration for the Service is completed when an applicant agrees to these Terms, applies for registration in the manner prescribed by the Company, and the Company approves the application.
  2. The Company may decline a registration application if it determines that any of the following applies, and shall have no obligation to disclose its reasons:
    1. The applicant provided false information when applying;
    2. The application is from a person who has previously violated these Terms; or
    3. The Company otherwise determines the registration to be inappropriate.

Article 3 (Management of User ID and Password)

  1. Users shall appropriately manage their user ID and password for the Service at their own responsibility.
  2. Users may not transfer or lend their user ID and password to any third party, or share them with any third party, under any circumstances. When a login matches the registered combination of user ID and password, the Company shall deem the use to be by the User who registered that user ID.
  3. The Company shall not be liable for any damage arising from the use of a user ID and password by a third party, except in cases of the Company's willful misconduct or gross negligence.

Article 4 (Fees and Payment)

  1. Users may purchase paid content for parts of the Service by paying the applicable consideration. The prices of paid content, payment methods, and other matters shall be separately determined by the Company and displayed within the Service or on the Company's website.
  2. The Company may change the price of any free or paid content at its discretion.
  3. Paid content is licensed for use only in connection with the purchasing User's own registered account.
  4. The use of third-party payment services designated by the Company (including but not limited to credit card payments and bank transfers; "External Payment Services") shall be governed by the terms of the applicable External Payment Service at the User's own responsibility, and the Company shall bear no responsibility therefor. Any dispute between a User and an External Payment Service shall be resolved between those parties.
  5. Unless otherwise provided in the applicable rules, Users acknowledge in advance that fees once paid are non-refundable for any reason (including, but not limited to, cancellation of registration).
  6. Where all services provided by the Company are paid services, the Company may delete the account of any User who fails to pay the consideration at any time, and shall bear no responsibility for such deletion.
  7. Paid plans of the Service (subscription-based plans such as the Premium plan; hereinafter the same) automatically renew on the same conditions at the end of each contract period, and the fee for the next period will be charged, unless the User completes the cancellation procedure.
  8. Users may cancel a paid plan at any time from the account page within the Service or by other means prescribed by the Company. After cancellation, the paid plan remains available until the end of the contract period already paid for; no pro-rata settlement or refund is made for mid-period cancellation.
  9. When revising the fees of a paid plan, the Company will give prior notice before the revision takes effect, by display within the Service or by e-mail.
  10. Unless otherwise expressly stated, prices displayed for the Service are inclusive of Japanese consumption tax where such tax applies.

  15. Any other acts the Company deems inappropriate.

Article 6 (Handling of Content)

  1. Users may use the content of the Service only within the scope prescribed by the Company.
  2. All rights to content provided through the Service belong to the Company, and nothing herein grants Users any license to the Company's patents, utility models, designs, trademarks, copyrights, or other intellectual property rights.
  3. Users are prohibited from reproducing, transmitting, transferring (including sales between Users), lending, translating, adapting, reprinting without permission, secondary use, commercial use, modifying, disassembling, decompiling, or reverse engineering content beyond the scope of use prescribed by the Company.
  4. Notwithstanding the preceding paragraph, when a User loses User status through withdrawal or otherwise, the right to use the provided content shall also expire.

Article 7 (Suspension of the Service)

  1. The Company may suspend or interrupt all or part of the Service without prior notice to Users if it determines that any of the following applies:
    1. Maintenance, inspection, or updating of the computer systems for the Service;
    2. Force majeure such as earthquake, lightning, fire, power outage, or other natural disasters making provision of the Service difficult;
    3. Shutdown of computers or communication lines due to accident; or
    4. Any other case where the Company determines that provision of the Service is difficult.
  2. The Company shall not be liable for any disadvantage or damage suffered by Users or third parties due to suspension or interruption of the Service.

Article 8 (Usage Restrictions and Deregistration)

  1. The Company may, without prior notice, restrict a User's use of all or part of the Service or deregister a User if the User:
    1. Violates any provision of these Terms;

    3. Defaults on payment obligations;
    4. Fails to respond to communications from the Company for a certain period;
    5. Has not used the Service for a certain period since the last use; or
    6. Is otherwise deemed by the Company to be unsuitable to use the Service.
  2. The Company shall not be liable for any damage incurred by a User as a result of actions taken by the Company under this Article.

Article 9 (Withdrawal)

Users may withdraw from the Service through the withdrawal procedure prescribed by the Company.

Article 10 (Disclaimer of Warranties and Limitation of Liability)

  1. The Company does not warrant, expressly or impliedly, that the Service is free of defects in fact or in law (including defects relating to safety, reliability, accuracy, completeness, effectiveness, fitness for a particular purpose, or security, as well as errors, bugs, and infringements of rights).
  2. The Company shall not be liable for any damage incurred by Users arising from the Service. However, this disclaimer does not apply if the contract between the Company and a User regarding the Service (including these Terms) constitutes a consumer contract under the Consumer Contract Act of Japan.
  3. Even in the case described in the proviso of the preceding paragraph, the Company shall not be liable for damage arising from special circumstances (including cases where the Company or the User foresaw or could have foreseen the occurrence of damage) caused by the Company's negligence (excluding gross negligence) through default or tort. Compensation for damage caused by the Company's negligence (excluding gross negligence) through default or tort shall be limited to the amount of usage fees received from the User in the month in which the damage occurred.
  4. The Company shall not be liable for any transactions, communications, or disputes arising between a User and other Users or third parties in connection with the Service.
  5. The Company shall not be liable for the content of third-party websites linked from the Service. Users shall use linked sites at their own responsibility.

Article 11 (Changes to the Service)

The Company may change the content of the Service or discontinue its provision without notice to Users and shall not be liable for any damage incurred by Users as a result. However, the Company will notify Users at least 30 days in advance of any discontinuation of the Service.

Article 12 (Termination of the Service)

  1. The Company may terminate the Service by notifying Users by appropriate means. Termination notices will be sent to the e-mail address registered by the User or published on the website or within the application. The Company will notify Users at least 30 days before terminating the Service.
  2. Upon termination of the Service, Users lose all rights to use paid content and acknowledge without objection that they will no longer be able to access content they have posted. Users are responsible for backing up their own content before the Service ends.
  3. If the Service is terminated for any reason, the Company shall be liable only for direct and foreseeable damage incurred by Users due to the Company's own negligence or omission, and shall not be liable for indirect damage (such as lost profits) or damage arising from special circumstances.

Article 13 (Amendment of the Terms)

The Company may amend these Terms at any time without notice to Users when it deems necessary. A User who begins using the Service after amendment shall be deemed to have agreed to the amended Terms.

Article 14 (Handling of Personal Information)

The Company shall appropriately handle personal information obtained through the use of the Service in accordance with the Company's Privacy Policy. The scope of personal information collected from Users, purposes of use, provision to third parties, procedures for disclosure, correction, and deletion, and management methods are handled appropriately in accordance with the separately established Privacy Policy. After the Service ends, the Company will delete Users' personal information by appropriate means.

Article 15 (Notices and Communications)

Notices and communications between Users and the Company shall be made by the methods prescribed by the Company. Unless a User submits a change notification in the format separately prescribed by the Company, the Company will treat the currently registered contact information as valid and send notices and communications to that contact, which shall be deemed to have reached the User at the time of transmission.

Article 16 (Prohibition of Assignment of Rights and Obligations)

Users may not assign their contractual status or rights or obligations under these Terms to any third party, or offer them as collateral, without the Company's prior written consent.

Article 17 (Contacting the Company)

Users shall contact or make inquiries to the Company regarding the Service through the inquiry form placed at an appropriate location within the Service or on websites operated by the Company, or by other methods separately designated by the Company.

Article 18 (Governing Law and Jurisdiction)

  1. These Terms shall be governed by the laws of Japan.
  2. Any dispute arising in connection with the Service shall be subject to the exclusive jurisdiction of the court having jurisdiction over the location of the Company's head office.

Article 19 (Cancellation and Refund Policy)

In principle, no refunds are accepted for paid content purchased on the Service. However, the Company will respond where cancellation or refund is required by law, where provision of the Service ends without prior notice, or where a User loses the right to use the Service.

Article 20 (Copyright of Service Content)

The copyright of content provided within the Service belongs to the Company or the rights holders. Users may not reproduce, modify, or distribute content without the Company's permission.

Article 21 (Response to Copyright Infringement)

If the Company determines that content posted by a User infringes a third party's copyright, it will take appropriate action. However, the Company does not play an active role in monitoring or detecting copyright infringement and responds only upon receiving reports of infringement. Details are governed by the separately established copyright infringement response policy.

Article 22 (Compensation for Damages)

If a User violates these Terms and causes damage to the Company, the User shall be liable to compensate the Company for all damage caused by the violation. When the Company makes a claim for damages against a User, it will notify the User by a method the Company deems appropriate.

Article 23 (AI-Generated Content)

  1. The Service uses AI (artificial intelligence) to generate and provide content such as feedback, questions, stories, and images based on what Users enter (the "AI-Generated Content").
  2. The Company does not warrant the accuracy, completeness, or usefulness of AI-Generated Content. AI-Generated Content is not a substitute for professional advice in medicine, psychology, law, tax, or other specialized fields, and Users shall consult professionals at their own responsibility on matters requiring such judgment.
  3. The Company may establish and change the number of uses, conditions of use, and other terms of provision of AI features.
  4. Rights to the records of reflections and other input made by Users in the Service belong to the Users. The Company may use them within the scope of providing and improving the Service and the purposes set forth in the Company's Privacy Policy. The handling of the stories and picture images generated in "Weekend Reflection Circle" is governed by the Company's Privacy Policy.

Article 24 (Corporate and Organization Contracts (Seat Licenses))

  1. The Service offers a plan (the "Enterprise Plan") under which a company or other organization (the "Contracting Organization") allows its officers, employees, and other members (the "Organization Members") to use the paid features of the Service. This Article applies to the Enterprise Plan and prevails over other provisions of these Terms in case of conflict.
  2. An Enterprise Plan contract is formed between the Company and the Contracting Organization represented by the administrator who created the organization in the Service (the "Organization Admin") at the time the Organization Admin completes the purchase of seat licenses ("Seats"). The Organization Admin represents and warrants that they have due authority to enter into this contract on behalf of the Contracting Organization.
  3. A Seat entitles the Organization Member to whom it is assigned to use the paid features. Within the number of contracted Seats, the Organization Admin may assign, unassign, and reassign Seats at any time.
  4. Fees for the Enterprise Plan are monthly fees according to the number of Seats (inclusive of Japanese consumption tax where applicable), automatically charged each month to the registered payment method. Seat additions take effect the same day with prorated charges for the additional Seats; Seat reductions take effect from the next billing period. In neither case is any refund made for the current month.
  5. The Organization Admin may cancel the Enterprise Plan at any time in the Service, and the contract ends at the end of the then-current billing period (no prorated settlement or refund is made mid-period). Upon termination, Seats cease to be effective, and Organization Members may continue to use the Service within the scope of the free plan.
  6. Rights to the records of reflections and other input made by an Organization Member in the Service belong to that individual Organization Member. Neither the Contracting Organization nor the Organization Admin may view the content of such records or per-individual usage information such as frequency of use, nor may they request the Company to disclose or delete them. Information disclosed to the Contracting Organization is limited to Organization Members' names, email addresses, Seat assignment status, and invitation acceptance status. This paragraph continues to apply after an Organization Member leaves the Contracting Organization and after the contract ends.
  7. Organization Members join the Service by accepting an invitation themselves. The Contracting Organization and the Organization Admin shall not force an Organization Member to join or to create records against their will.
  8. If the Contracting Organization or the Organization Admin violates these Terms, the Company may suspend all or part of the Enterprise Plan without prior notice.

Article 10 (Handling of Stories and Picture Images Generated in "Weekend Reflection Circle")

  1. In the Service's "Weekend Reflection Circle", AI generates a story and a picture image (the "Generated Works") based on the reflections of the Users who joined the same session. The Company stores the Generated Works after removing names, account information, and other information that could identify specific individuals.
  2. With consent obtained from Users before joining a session, the Company may use the Generated Works for purposes of introducing the Service (including publication on service introduction pages and in informational e-mails). The Company does not provide or sell the Generated Works to third parties.
  3. The records of reflections entered by a User during a session are stored solely as that User's own records and are never shared with other participants or third parties.
  4. Users may, through the contact point set forth in Article 13, request suspension of use or deletion of the Generated Works of sessions in which they participated. Upon receiving such a request, the Company will not make any new use of them and will delete or replace already published items promptly to a reasonable extent.
